Welcome to Miisooo. These Terms of Service constitute a legally binding agreement between you and Miisooo regarding your access to and use of the Miisooo mobile application, website, software, features, content, and related services. By downloading, accessing, registering for, or using Miisooo, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you should not access or use the Services.
1.1 You may use Miisooo only if you are legally permitted to enter into a binding agreement under the laws applicable to you.
1.2 By using Miisooo, you represent and warrant that you meet the applicable age and legal requirements and that the information you provide to us is accurate and complete.
2.1 Certain features of Miisooo may require you to create an account. You are responsible for providing accurate information and keeping your account information up to date. You are also responsible for maintaining the confidentiality of your account credentials and for all activities that occur through your account.
2.2 You agree not to share your account credentials with others or allow unauthorized individuals to access your account. If you believe that your account has been accessed or used without authorization, you should notify us promptly.
2.3 We reserve the right to suspend or terminate accounts that we reasonably believe have been created or used in violation of these Terms, applicable law, or the security or integrity of the Services.
3.1 You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use Miisooo in a manner that violates applicable laws or regulations, infringes the rights of others, interferes with the operation or security of the Services, or attempts to gain unauthorized access to any systems, accounts, or data.
3.2 You may not use the Services to upload, create, generate, distribute, or otherwise process content that is unlawful, fraudulent, defamatory, threatening, abusive, harassing, hateful, sexually exploitative, or otherwise harmful. You may not use Miisooo to facilitate criminal activity, impersonate another person in a deceptive or harmful manner, infringe intellectual property or privacy rights, or create content intended to deceive or cause harm.
3.3 You may not reverse engineer, decompile, disassemble, modify, copy, reproduce, distribute, sell, lease, sublicense, or otherwise exploit the Services or any portion of them except to the extent expressly permitted by applicable law or authorized by us in writing.
4.1 Miisooo may allow you to upload, import, create, generate, store, or share videos, images, photographs, audio recordings, text, and other materials. All such materials that you submit through the Services are referred to as “User Content.”
4.2 You retain ownership of your User Content. Nothing in these Terms transfers ownership of your User Content to Miisooo. However, in order for us to provide, operate, maintain, and improve the Services, you grant Miisooo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, modify, adapt, and display your User Content solely as reasonably necessary to provide the Services and the features you request.
4.3 You are solely responsible for your User Content and for ensuring that you have all rights, permissions, licenses, and consents. This includes obtaining any necessary consent from individuals who appear or can be identified in your content and ensuring that your use of music, photographs, video footage, trademarks, recordings, text, and other materials does not infringe the rights of third parties.
4.4 Miisooo does not claim ownership of your User Content merely because you use our Services. However, we may remove, restrict, or disable access to User Content if we reasonably believe that it violates these Terms, applicable law, or the rights of others.
4.5 You acknowledge and agree that you use the Services and process or publish User Content at your own risk. Miisooo does not guarantee that any User Content is accurate, complete, appropriate, lawful, non-infringing, or suitable for your intended purpose. You assume all risks and responsibility arising from your use or other exploitation of User Content, including any claims, losses, damages, liabilities, or disputes arising from such use, to the maximum extent permitted by applicable law.
5.1 The Services, including the Miisooo name, trademarks, logos, software, interface, designs, graphics, text, templates, sounds, effects, animations, technology, and other materials provided by Miisooo, are owned by or licensed to Miisooo and are protected by applicable intellectual property laws.
5.2 Except for the limited rights expressly granted to you under these Terms, Miisooo does not grant you any ownership or other intellectual property rights in the Services.
6.1 Miisooo may offer in-app purchases. Prices, available features, quantities, and other applicable terms will be displayed before you complete a purchase.
6.2 If you make an in-app purchase, you authorize the applicable payment provider or app store to charge the purchase amount associated with the transaction. All purchases are subject to the payment terms and policies of the applicable platform or payment provider. You should review the applicable platform’s policies for information about payment processing and refund procedures.
6.3 We may change the prices, availability, or features of paid Services from time to time. Where required by applicable law, we will provide appropriate notice before material changes take effect.
6.4 Before completing any purchase, you are responsible for carefully reviewing the product, including its price and included feature, and confirming that the purchase is correct.
6.5 Except where a refund is required by applicable law or expressly provided by the applicable app store or payment provider, all purchases are final and non-refundable. We are not responsible for refunds resulting from accidental purchases, failure to review purchase details, unused or changes in your personal circumstances.
7.1 To provide and improve the Services, Miisooo may use, integrate with, or rely on third-party services, platforms, software, payment providers, cloud services, AI technologies, analytics providers, advertising networks, and other third-party products or services.
7.2 These third-party services are operated independently by their respective providers and may be subject to their own terms of service, privacy policies, and other applicable rules. Miisooo does not control these third-party services and, to the maximum extent permitted by applicable law, is not responsible for their availability, functionality, security, content, policies, practices, or performance.
8.1 Miisooo respects the intellectual property rights of others. If you believe that content available through the Services infringes your copyright or other intellectual property rights, you may contact us with sufficient information to allow us to investigate the complaint.
8.2 We may remove or restrict access to content that we reasonably believe infringes the rights of others and may take appropriate action against repeat or serious violations, subject to applicable law.
9.1 To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Miisooo makes no warranties or representations, express or implied, regarding the Services, including their availability, reliability, accuracy, completeness, fitness for a particular purpose, merchantability, or non-infringement.
9.2 We do not guarantee that the Services will meet every user’s requirements, operate without interruption or errors, or produce particular results. We also do not guarantee the accuracy, reliability, originality, or suitability of content generated through AI or other automated features.
9.3 You are responsible for evaluating the suitability of any content, information, or output produced through Miisooo before using or relying on it.
10.1 To the maximum extent permitted by applicable law, Miisooo and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, content, business opportunities, or goodwill arising out of or relating to your use of or inability to use the Services.
10.2 To the maximum extent permitted by applicable law, the total liability of Miisooo arising out of or relating to the Services or these Terms will not exceed the amount you paid to Miisooo for the Services during the twelve months immediately preceding the event giving rise to the claim, or another minimum amount required by applicable law.
10.3 Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Miisooo and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your User Content, your misuse of the Services, your violation of these Terms, your violation of applicable law, or your infringement of the rights of another person.
12.1 Miisooo places great importance on protecting the safety, privacy, and legitimate rights of minors. Minors should use Miisooo only with the knowledge, permission, and supervision of their parent or legal guardian where required by applicable law. Parents and legal guardians are encouraged to guide minors in using the Services responsibly and to pay particular attention to the content they create, upload, view, or share through Miisooo.
12.2 We take reasonable measures to protect minors from inappropriate, harmful, abusive, or exploitative content and conduct. Users are strictly prohibited from using Miisooo to create, upload, generate, distribute, or otherwise process content that sexually exploits, abuses, threatens, harasses, or otherwise harms minors. Any content involving the sexual exploitation or abuse of minors is strictly prohibited, and we may immediately remove such content, suspend or terminate related accounts, and take appropriate action where required by law.
13.1 You may stop using the Services at any time. If you have an account, you may also request account deletion subject to applicable procedures and legal requirements.
13.2 We may suspend or terminate your access to all or part of the Services if we reasonably believe that you have violated these Terms, applicable law, or the rights of others, or if suspension or termination is reasonably necessary to protect the Services, our users, or our business.
13.3 Upon termination, your right to use the Services will cease. Provisions of these Terms that by their nature should survive termination, including provisions relating to intellectual property, User Content, disclaimers, limitations of liability and indemnification will continue to apply.
14.1 Miisooo may release updates, upgrades, patches, bug fixes, security improvements, new features, or other modifications to the application from time to time. These updates may be provided to improve the performance, security, functionality, compatibility, or user experience of the Services.
14.2 You understand and agree that certain updates may be necessary for you to continue using Miisooo properly. Depending on your device, operating system, and settings, updates may be downloaded or installed automatically, or you may be required to manually update the application through the applicable app store or other authorized distribution platform.
14.3 Miisooo reserves the right to modify, add, suspend, or remove features, functions, content, or services as part of an update. We may also discontinue support for certain devices, operating systems, or older versions of the application when reasonably necessary for security, technical, operational, or legal reasons.
14.4 You are responsible for keeping the application updated to the latest version reasonably available for your device. Miisooo is not responsible for issues caused by your continued use of an outdated or unsupported version of the application, to the extent permitted by applicable law.
15.1 We may update these Terms from time to time to reflect changes to the Services, our business practices, technology, or applicable laws. When we make material changes, we may notify you through the Services, our website, or other reasonable means.
15.2 The “Last Updated” date at the beginning of these Terms indicates when they were most recently revised. Your continued use of Miisooo after the updated Terms become effective means that you accept the revised Terms to the extent permitted by applicable law.
